ضوابط تأسيس الشّركات التّجارية وفق التّشريع الجزائري

Résumé: ملخص: لقد عالجنا في مذكرتنا موضوع إجراءات تأسيس الشركات التجارية، وهذه الأخيرة التي أصبحت تلعب دورا هاما للتنمية الاقتصادية في الوقت الراهن، وذلك لأن الدول حتى وإن اختلفت أنظمتها الاقتصادية إلا أنها تعتمد عليها بصورة كبيرة ومتزايدة من أجل تحسين المستوى الاقتصادي، وأصبحت من الأساسيات لبناء اقتصاد قادر على المنافسة. والشركات التجارية أعمالا تجارية بحسب الشكل على أنه يحدد الطابع التجاري للشركة إما بشكلها أو بموضوعها (حسب ما أدرج في القانون التجاري في مادته 544)، وتنقسم إلى شركات أشخاص وشركات أموال وشركات مختلطة، بالنسبة لشركات الأشخاص فهي التي يكون فيها لشخصية الشريك اعتبار شخصي ويكون مسؤولا عن ديون الشركة مسؤولية تضامنية، أما شركات الأموال فلا يكون فيها أهمية لشخصية الشريك إذ ينصب الاهتمام في تجميع رؤوس الأموال (الاعتبار المالي)، أما النوع الثالث الشركات فهي مزيج للاعتبار الشخصي والمالي، ولذلك يجب الاعتماد على إجراءات قانونية سليمة. summary: In our memorandum, we have addressed the issue of procedures for establishing commercial companies, which have come to play an important role for economic development at the present time, because countries, even if their economic systems differ, depend on them to a large and increasing extent in order to improve the economic level, and it has become one of the basics for building a capable economy. On competition. Commercial companies are commercial businesses according to the form, as the commercial character of the company is determined either by its form or by its subject (as included in the Commercial Code in Article 544), and it is divided into companies of persons, companies of funds, and mixed companies. As for companies of persons, they are those in which the personality of the partner has personal consideration and is responsible. There is a joint liability for the company's debts. As for financial companies, the personality of the partner is not important, as the interest is in accumulating capital (financial consideration). As for the third type of companies, they are a combination of personal and financial considerations, and therefore sound legal procedures must be relied upon.
