التزام مسيري المؤسسات بواجب الولاء اتجاه الشركة (دراسة مقارنة بين القانونين الجزائري و الفرنسي)

Résumé: يعتبر الالتزام بالولاء أحد الواجبات الأساسية التي يلتزم بها مسيري المؤسسات في مرحلة التفاوض على عقود عملهم، وأثناء سريانها، كما يشمل كذلك فترات تعليقها، وفقا لما يقتضيه مبدأ حسن النية من صدق وأمانة وثقة وتعاون في تنفيذ العقود، وذلك نظرا للمكانة التي يحتلها المسير داخل الشركة وتمتعه بصلاحيات واسعة في تنظيم وادارة المؤسسة الاقتصادية، ويؤدي عدم الالتزام بالولاء إلى فقدان الثقة التي تتميز بها علاقات العمل، لكون هذه الأخيرة تقوم بالدرجة الأولى على حسن النية في تنفيذها، مما يترتب عليه جزاءات مدنية وأخرى تأديبية تقع على عاتق مسيري المؤسسات قد تصل إلى حد انهاء علاقة عملهم. The commitment to loyalty is one of the basic duties that the managers of the institutions shall bide by them, at the stage of negotiating their employment contracts while it is in effect, additionally, during its suspension periods. According to it principles includes confidence, trust and cooperation in terms of honesty concerning the implementation of contracts due to the position occupied by the manager at the company which gives him power to organize and manage the economic institution, moreover, disloyalty at word leads to loss confidence, which is one of the principles characterstics at word relations which will cause civil and disciplinary penalties it can end administrators works since it’s their responsibility.
