حوكمة المؤسسات: قراءة في المفاهيم مع عرض تجارب دولية

Résumé: تعالج هذه الدراسة موضوع حوكمة المؤسسات: قراءة في المفاهيم مع عرض تجارب دولية، حيث تعتبر الحوكمة من المفاهيم الحديثة التي لقيت اهتماما واسعا على المستوى المحلي والدولي نظرا لما شهده العالم من تغيرات تمثلت في العولمة، وكذا الانهيارات المالية والاقتصادية التي مست كبريات الشركات في العالم، ونهدف من خلال هذه الدراسة إلى التعرف على التطور التاريخي لحوكمة المؤسسات وأسباب ظهورها، بالإضافة إلى تحديد ماهيتها مع عرض تجارب دولية، وسنعتمد في هذه الدراسة على المنهج الاستنباطي. وأهم ما خلصت له الدراسة هو أنّ الدول المتقدمة اعتمدت على الحوكمة وأدرجت مبادئها ضمن سير اقتصادياتها ومؤسساتها، أمّا الدول الناشئة فهي تخطو خطوات إيجابية لتطبيق مبادئ الحوكمة، وبالنسبة للدول العربية فهي تسعى على غرار الدول المتقدمة والناشئة إلى تعزيز إرساء متطلبات الحوكمة من خلال العديد من الإصلاحات الاقتصادية مست مختلف مبادئها وآلياتها، وهذا لأنّ إقامة نظام سليم لحوكمة المؤسسات والتطبيق المحكم لمعاييره يؤدي إلى خلق ضمانات ضد الفساد وسوء الإدارة، وتحقيق أكبر قدر من الشفافية والعدالة، وتعد مصر الدولة العربية الرائدة في هذا المجال إذ تبدي تقدما ملحوظا في الإيفاء بمتطلبات مبادئ الحوكمة مقارنة بالدول العربية الأخرى. This study deals with the corporate governance through a reading of related concepts and the presentation of international experiences. Governance is a modern concept that has received wide attention at the local and international level due to the changes witnessed in the world, mainly globalization and financial and economic meltdowns that touched the largest companies in the world. The aim of this study is to identify the historical evolution of corporate governance and the reasons for its emergence, as well as its importance, with the presentation of international experiences, using the deductive approach. The most important conclusion of the study is that developed countries have relied on governance and incorporated its principles into the course of their economies and institutions, while emerging countries are taking positive steps to implement its principles. This is because the establishment of a sound system of corporate governance and the strict application of its standards lead to the creation of guarantees against corruption and mismanagement, and the achievement of greater transparency and justice. In this regard, it is noteworthy that Egypt is the leading Arab state in this area showing a remarkable fulfilment of the requirements of the principles of governance in comparison to other Arab countries
