Legal And Contractual Provisions Of Commercial Companies: Between The Controls Of Adoption And The Priority Of Adjudication

Résumé: Abstract: Commercial company law comes from both written laws (like commercial and civil codes) and unwritten sources. Article 1 bis of the Commercial Code outlines these sources. The "company contract is also a crucial source. Because of the principle of pacta sunt servanda, this contract holds the same legal weight as codified statutes and established practices. Therefore, the company contract is a fundamental part of the legal framework governing commercial entities Commercial companies are primarily subject to the mandatory provisions of the Commercial Code. In the absence of a specific provision, the mandatory rules of the Civil Code apply, followed by established commercial practices. If the issue remains unresolved, the company's articles of incorporation are consulted. If there is still no applicable provision, the supplementary rules of the Commercial the supplementary rules of the Civil Code. الملخص: تتنوع مصادر الشركات التجارية إلى أحكام قانونية مكتوبة وأخرى غير مكتوبة، كالقانون التجاري والقانون المدني والعرف التجاري، إعمالا بالمادة 1 مكرر من القانون التجاري، علاوة على وجود أحكام اتفاقية يصطلح عليها "عقد الشركة" أو "قانونها الأساسي"، ومن ثم وتكريسا لفكرة العقد شريعة المتعاقدين، فإن لعقد الشركة مكانة لا تقل عن المصادر القانونية للشركة التجارية. وقياسا على ما جاء في القانون التجاري، وفي ظل غياب نص خاص ينظم مصادر الشركات التجارية، يطبق في المقام الأول القانون التجاري في قواعده الآمرة على الشركات التجارية، وإذا لم يوجد نص يلجأ للأحكام الآمرة في القانون المدني، وتليه الأعراف التجارية، وإذا لم يوجد حل في المصادر السالفة، فإنه يحتكم لبنود القانون الأساسي للشركة، وإذا لم يوجد نص فيها، فإنه يلجأ كمرحلة أخيرة للقواعد المكملة في القانون التجاري وبعده القواعد المكملة للقانون المدني على هذا الترتيب.
