عقود نقل المعرفة الفنية وقوانين المنافسة

Résumé: الملخص: تقوم العلاقات السائدة في السوق على منطق المنافسة والتزاحم بين مختلف المتعامليين الإقتصاديين لغرض إنتاج مختلف السلع والخدمات لغرض تلبية جاجات المستهلكين. لغرض تحقيق ذلك يلجأ المتعامليين إلى إقامة علاقات تعاقدية ذات منفعة كبيرة لهم من بينها العلاقات التعاقدية التي يكون موضوعها نقل المعرفة الفنية فنكون بذلك أما عقود نقل المعرفة الفنية. وما يحكم إبرام هذه العقود الناقلة للمعرفة الفنية هو مجموعة من الحريات الاقتصادية على غرار حرية المنافسة وحرية التجارة وحرية المبادرة وحرية التعاقد، الأمر الذي سمح ومع مرور الوقت لملاك المعرفة الفنية بأن يفرضوا منطقهم في السوق على حساب المستفدين من هذه المعرفة الفنية. وهو ما طرح إشكال إضرار هذه العقود بالسوق والمنافسة ومن ثم هل يمكن التصدي لهذه العقود بموجب قوانين المنافسة المكرسة في غالبية التشريعات منها التشريع الغربي والتشريع الجزائري. الكلمات المفتاحية: عقود نقل المعرفة الفنية، المنافسة، القانون، عقد الفرنشايز، شرط عدم المنافسة، شرط الحصرية الإقليمية. Abstract: Market relations are based on the logic of competition and competition between different economic traders to produce various goods and services to meet the needs of consumers. To do this, dealers use the establishment of contractual relationships that are very advantageous to them, including contractual relationships whose purpose is the transfer of technical knowledge. What governs the conclusion of these contracts that transfer technical knowledge is a set of economic freedoms such as freedom of competition, commercial freedom, freedom of initiative, and freedom of contract, which over time, allowed the owners of technical knowledge to impose their logic on the market at the expense of the beneficiaries of this technical knowledge. This has resulted in disadvantageous forms of market and competition for these contracts and, therefore, these contracts can be dealt with under the competition laws enshrined in most laws, including Western and Algerian legislation. key words: technical knowledge transfer contracts, competition, Law, franchise contract, non-competition clause, regional exclusivity clause
