الشّركة التجارية الفعلية في التشريع الجزائري
Résumé: عالجت الدراسة نظرية الشركة التجارية الفعلية في القانون الجزائري، وبينت أوجه التفرقة بين الشركة التجارية الفعلية وبعض النظم القانونية التي قد تلتبس بها، كشركة المحاصة والشركة المنشأة من الواقع، والشركة في مرحلة التأسيس. كما تناولت الدراسة موقف المشرع الجزائري من النظرية والتي اعترف بها كما عالجت موقف القضاء الجزائري المتردد من نظرية الشركة التجارية الفعلية. وأخيرا تناولت الدراسة مجال تطبيق نظرية الشركة التجارية الفعلية، وبينت النتائج القانونية المترتبة على الاعتراف بالوجود الواقعي للشركة وكيفية انقضاؤها وتصفيتها. Abstract: The study has treated the theory of the facto commercial company according to the Algerian law. It similarly distinguishes the defining juristic characteristics of de facto commercial company from other kinds of corporations like the ones already practicing and startups. The study has also considered the Algerian law maker’s theoretical position from the facto commercial company theory which he has confessed with, and it has regarded his hesitancy towards it. Eventually, the study has tackled the extent to which the facto commercial company can function, the consequences from fully acknowledging its existence and the ways in which it can be legally dissolved.
