نماذج حوكمة الشركات في العالم (دراسة تجارب دولية)

Résumé: تهدف هذه الورقة البحثية الى دراسة انظمة حوكمة الشركات والتعرف على التجارب الدولية الرائدة في مجال حوكمة الشركات وما يمكن أن تحدثه تلك الانظمة على هیکل الملكية في الشركة ، باعتباره ألية من الآليات المتحكمة، في فعالية المبادئ التي أتت بها حوكمة الشركات، حيث أظهرت الدراسة هناك إدراك و إجماع قوي بخصوص أهمية إصلاح و تكييف الآليات التي تحوكم بها الشركات مع متطلبات البيئة التي تعمل فيها هذه الآليات، خاصة هيكل الملكية، في إطار ضعف أو قوة التأثير الذي من الممكن أن يمارسه اصحاب الملكية، المقرون في الاساس بطبيعة الملاك ، وكذا تمركز أو تشتت هيكل الملكية في المؤسسة ، وخلصت الدراسة ان لكل نظام مزيا وعيوب، واتباع هذه الانظمة في الاساس يرجع الى فلسفة النظام القانوني والتشريعي القائم في الدولة والى المرجعية والخلفية الاقتصادية القائمة في كل دولة . This research paper aims to study corporate governance systems and identify the leading international experiences in the field of corporate governance and what these systems can do to the ownership structure in the company, as it is one of the controlling mechanisms, in the effectiveness of the principles brought by corporate governance, where the study showed there is a realization And a strong consensus regarding the importance of reforming and adapting the mechanisms by which companies are governed with the requirements of the environment in which these mechanisms operate, especially the ownership structure, in the context of the weakness or strength of the influence that can be exercised by owners of property, which is basically linked to the nature of owners, as well as concentration or dispersal The structure of ownership in the institution, and the study concluded that each system has advantages and disadvantages, and following these systems is mainly due to the philosophy of the legal and legislative system existing in the state and to the reference and economic background existing in each state.
