Résumé: تعتبر الشركة التجارية أداة مثالية للتنمية الاقتصادية في العصر الحديث، نظرا لقدرتها الهائلة على تجميع رؤوس أموال ضخمة، للقيام بمشاريع اقتصادية تحقق الرخاء والنمو الاقتصادي، وهو ما أثار اهتمام المشرع الجزائري المصلحة فيها ويسن القوانين المتعلقة بكل من يخالفها. وقد اعتبر المشرع الشركة التجارية شخصية اعتبارية حسب نص المادة 417 من القانون المدني، وتتمتع بالاستقلال المالي والوظيفي، بالإضافة إلى التمثيل القانوني أمام الجهات الرسمية. واشترط المشرع لإثبات هذه الجريمة أن تكون الجريمة من مديري الشركات التجارية وتجاوزهم لحدود سلطتهم، وأن ترتكب لحساب الشركة نفسها. في إطار عقد تأسيس الشركة، يتم تحديد حقوق وواجبات الأطراف المتعاقدة، ويتولى المدير الإشراف على سير عجلات الشركة، وذلك وفقاً لمواد عقد التأسيس والتشريعات المتعلقة بالشركات التجارية. ، وسوء إدارة الشركة يمكن أن يكون مصدر ضرر كبير للمساهمين والشركاء وحتى دائني الشركة، مما يؤدي إلى خسائر المستحقات المالية الشخصية ومسؤولية الشركة، حيث لم يكتف المشرع بتحديد الأخطاء الناتجة التي تحدد مسؤولية المتصرف، ولكنها تدعمها بالجرائم الجنائية التي تبرر ضرورة الردع الجزائي لهذه الأفعال.
