خصوصية بطلان الشركة التجارية

Résumé: يتمثل الجزاء المباشر على تخلف شروط انعقاد و كذا شروط صحة الشركة التجارية سواء منها الأركان الموضوعية العامة و الخاصة أو الأركان الشكلية بطلان الشركة على اعتبار أنها عقد، و يكون البطلان بحسب الشرط المختل إما بطلانا مطلقا أو بطلانا نسبيا، و الأصل أن البطلان بنوعيه يؤدي إلى ارجاع الحال إلى ما كان عليه و إعادة الأطراف المتعاقدة إلى الحالة التي كانوا عليها قبل التعاقد، إلا أن الأمر كثيرا ما يختلف بالنسبة لبطلان الشركة التجارية، فإذا انحلت الشركة التجارية بالبطلان يكون للبطلان أثر فوري لا رجعي ، يسري فقط على تعاملاتها المستقبلية دون تلك التي قامت بها في الماضي، و تبقى الشركة التجارية محتفظة بشخصيتها المعنوية إلى حين تصفيتها، حيث قرر المشرع حماية مصالح الغير حسن النية الذي دخل في تعهدات و تعاملات معها في الفترة التي تسبق القضاء ببطلانها، و عليه جاءت هذه الدراسة للتعريف بخصوصية هذا البطلان.
