تقديم العقار كاسهام في شركة تجارية

Résumé: يعد العقار من بين المقدمات العينية التي يمكن للشركاء المساهمة بها، والتي فرض المشرع ضرورة تقديرها حتى تدخل في تكوين رأس المال،على أن يتم ذلك من لدن مندوب الحصص في كل من الشركة ذات المسؤولية المحدودة وشركة المساهمة نظرا للآثار المترتبة عن المبالغة أو تخفيض التقدير بالنسبة للشركة والشركاء وكذا الغير،علما أن الدراسة أسفرت عن وجود بعض النقائص أو الثغرات القانونية والتي تخص خاصة مسألة التقدير سواء أثناء تأسيس الشركة أو بمناسبة زيادة رأس المال. Real estate is among the in-kind contributions that the partners can contribute to, and for which the legislator has imposed the necessity of estimating it , in order to be included in the formation of the capital, provided that , this is done by the representative of the shares in both the limited liability company and the joint stock company due to the effects of exaggeration or underestimation for the company and partners as well as third parties, note that the study resulted in the presence of some shortcomings or legal loopholes, which are especially related to the issue of estimation, whether during the establishment of the company or on the occasion of the capital increase.
