تطبيق معايير الحوكمة وأثرها القانوني في ضمان حقوق أقلية المساهمين في الشركات المساهمة "المملكة الأردنية الهاشمية نموذجاً"

Résumé: Organization for Economic Cooperation and Development OECD (governance) known as: activating the laws, rules and standards that define the relationship between the management of the company on the one hand, and the shareholders and stakeholders or parties related to the company and motivates financial institutions to adopt such laws and standards in the regulations to ensure access to world-class, those laws and standards called corporate governance. Some countries have adopted those standards , which are based on integrity and transparency , such asHashemite Kingdom of the Jordan, however, that the application of these standards for the protection of minority shareholders in joint stock companies , collides with certain legal provisions established by the Jordanian legislator in the Companies law , without doubt, the company law of Jordan and some financial laws other texts are included on a number of factors that encourage the application of corporate governance , but we find the other texts are still hinder the application of these standards and give clues to Discourage the application of standards and affect the rights of minority shareholders. This study will refer to the most important standards of corporate governance that the balance between the rights of the minority and the majority of shareholders and those that still need to be modified , note that the standards of corporate governance as we'll see in the study , is a double-edged sword involves the pros and cons of them will reached in the finale .
