الإطار المفاهيمي للشركة القابضة والشركة التابعة في التشريع الجزائري Conceptual Framework For The Holding Company And Subsidiary Company In Algerian Legislation

Résumé: اختلفت التشريعات في تعريف الشركة القابضة، لكنَّها اتفقت على أنَّ غرضها من المساهمة في شركة أخرى هو كسب السيطرة عليها. ويرى جانب من الفقه أنَّ الشركة القابضة هي الشركة التي تختص في السيطرة الإدارية على الشركات التابعة، دون ممارسة أي نشاط اقتصادي آخر. وقد أخذت بهذا الاتجاه التشريعات التي نصت في قوانينها على اقتصار دور الشركة القابضة على الرقابة الإدارية لشركاتها التابعة وتسيير حافظتها المالية فيها. ولقد تبنى المشرع الجزائري الاتجاه الأول، إذْ أنَّه لم يحدد نوع الرقابة التي تمارسها الشركة القابضة على الشركة التابعة لها، وإنَّما نص على آليات تحقيق الرقابة، واعتبر الشركة المراقبة وفق هذه الآليات شركة قابضة. Legislations differed in defining a holding company. However, they agreed that its purpose in participating in another company is to control it. A part of the jurisprudence believes that the holding company is concerned with managing the subsidiary, without any other activity. This direction was taken by legislations that stipulate in their laws that the role of the holding company is limited to Management of subsidiaries.The Algerian legislator adopted the first trend, as it did not specify the type of control the holding company would be exercised over the subsidiaries, Rather, it stipulated the Means of control, and considered the controlling company according to these means a holding company.
