التنظيم القانوني للشركة القابضة في القانون العراقي في ظل قانون التعديل رقم (17) لسنة 2019

Résumé: الملخص: الشركة القابضة ليست شكلا جديدا من اشكال الشركات انما هي ذات الشركات المنصوص عليها في القانون ، وان غالبية الدول تمنح الحق لشركات الاموال كالشركة المساهمة والشركة المحدودة بان تصبح شركة قابضة وذلك من خلال سيطرتها على شركة او اكثر تكون تابعة لها. ونظرا لاهميتها فان معظم الدول قد نظمت احكامها بشكل دقيق وهذا ما حاول ان يفعله المشرع العراقي وذلك من خلال قانون تعديل قانون الشركات رقم (21) لسنة 1997 نظم احكام الشركة القابضة لاول مرة في العراق، ومن خلال هذا البحث نحاول دراسة قانون التعديل الاخير ، نظرا لاهمية هذه الشركات اذ لابد ان يتم تنظيم الاحكام القانونية المتعلقة بها بشكل تفصيلي دقيق ابتداء من شكل الشركة القابضة وتنظيم العلاقة بينها وبين الشركات التابعة لها وكيفية ادارتها وانقضائها. Abstract: The holding company is not a new form of companies. Rather، it is the same companies mentioned in the law، Most of the countries allow the joint stock company and the limited company to become a holding company، And that through its control over one or more companies that are affiliated with it. Due to its importance، most countries have organized their rulings carefully This is what the Iraqi legislator tried to do، through the Companies Law No. 21 of 1997 amending the provisions of the holding company for the first time in Iraq ، Through this research، we try to analyze the Law of the Last Amendment ، Given the importance of these companies، as the legal provisions related to them must be carefully detailed Starting from the form of the holding company and the organization of the relationship between it and its subsidiaries.
