الاحكام القانونية الخاصة الناظمة لشركة المساهمة البسيطة وفق القانون رقم 22-09

Résumé: في سبيل معالجة التحديات التي تواجه رواد الأعمال لا سيما الشكل القانوني لمؤسساتهم، استحدث المشرع الجزائري بموجب القانون رقم 22-09 الصادر في05/05/2022 المعدل والمتمم للقانون التجاري نمطا جديدا من الشركات التجارية وهي:" شركة المساهمة البسيطة"، حيث يهدف هذا المقال إلى بيان الأحكام القانونية الخاصة الناظمة لها. وقد توصلت الدراسة إلى عدة نتائج أهمها أن: شركة المساهمة البسيطة تنشأ حصريا من طرف الشركات الحاصلة على علامة "مؤسسة ناشئة"، وان تأسيسها وتسييرها وإدارتها يخضع للأحكام المتعلقة بشركة المساهمة ما لم تتعارض مع الأحكام الخاصة الناظمة لها الواردة في المواد من 715 مكرر 133 إلى 715 مكرر 143 من القانون 22-09 المعدل والمتمم للقانون التجاري الجزائري. To address the challenges faced by entrepreneurs, in particular the legal form of their enterprises, the Algerian legislature, by Act No. 22-09 of 05/05/2022, amending and supplementing the Commercial Code, introduced a new pattern of business companies: the "simple shareholding company", which is intended to describe the special legal provisions governing them. The study reached several conclusions, the most important of which: The Simple Joint Stock Company is established exclusively by companies that have the "startup" subject to the provisions of the Joint Stock Company, unless it contravenes the special provisions governed by articles 715 bis 133 to 715 bis 143 of Act No. 22-09, amended and supplemented by the Algerian Commercial Code.
