عن خصوصيات شركة المساهمة البسيطة: دراسة مقارنة بالقانون الفرنسي

Résumé: ملخص: تعد شركة المساهمة البسيطة من أحدث أشكال الشركات التجارية في عصرنا الحالي، وتأتي الجزائر ضمن قائمة الدول التي تبنت هذا النوع من الشركات التجارية كأحد الأشكال القانونية المتاحة في مجال الإستثمار خاصة بالنسبة للمؤسسات الناشئة بالدرجة الأولى. يأتي توجه المشرع الجزائري، رغم تأخره، نحو تكريس نوع جديد من الشركات التجارية تجسيدا لمطابقة الإصلاحات الإقتصادية المقررة من طرف الدولة مع توجهها السياسي والإقتصادي المعتمد والذي يستهدف إرساء مبادئ الشفافية لتحسين مناخ الأعمال، بفضل عصرنة القواعد المتعلقة بالشركات التجارية بما يكرس الشفافية في تسييرها والتصدي للإجراءات المعقدة من خلال محاولة إضفاء البساطة والمرونة عليها. الكلمات المفتاحية: شركة المساهمة البسيطة، القانون رقم 22-09، القانون الفرنسي، شركة المساهمة البسيطة ذات الشخص الوحيد، اللجوء العلني للإدخار. Abstract: The simplified joint stock company is one of the latest forms of commercial companies in our time, and Algeria is among the list of countries that have adopted this type of commercial company as one of the legal forms available in the field of investment, especially for start-ups in the first place. The focus of the Algerian legislator, despite its delay, towards establishing a new type of commercial company comes as an embodiment of conforming the economic reforms decided by the state with its approved political and economic tendencies, which aims to establish principles of transparency to improve the business climate, thanks to the modernization of the rules related to commercial companies in a manner that establishes transparency in their governance and dealing with the complex procedures by trying to make it simple and flexible.
