علاقة الشركة القابضة بالشركات التابعة The Relationship Between The Holding Company And Its Subsidiaries

Résumé: يعد مجمع الشركات ظاهرة مبتكرة للتنظيم الاقتصادي ويشكل صورة من صور التركيز الاقتصادي، فالمجمع يتكون من مجموعة من الشركات مستقلة عن بعضها البعض قانونيا إلا أنها مرتبطة فيما بينها بروابط اقتصادية، و المجمع ليس له كيان قانوني قائم بذاته، ولا يكتسب الشخصية المعنوية، وإنما يقوم على فكرة السيطرة ، فالشركة القابضة التي تأتي على رأس المجمع تخضع الشركات الأخرى و التي تسمى بالشركات التابعة إلى سيطرتها، باستعمال وسائل متعددة ، ونحن من خلال هذه الورقة البحثية تناولنا طبيعة علاقة الشركة القابضة بالشركات التابعة، وذلك من خلال التطرق إلى مفهوم الشركات القابضة أولا، ثم وسائل سيطرة الشركة القابضة على الشركات التابعة، وفي الأخير المسؤولية الناتجة عن سيطرة الشركة القابضة على الشركة التابعة لها، معتمدين في الدراسة على المنهج الوصفي التحليلي، أما النتيجة المتوصل إليها من خلال الدراسة أن العلاقة بين الشركة القابضة و الشركات التابعة هي علاقة سيطرة مطلقة ، وأن الشركات التابعة مجرد غطاء قانوني للشركات الكبرى( القابضة) من أجل توسيع نشاطها و فرض أسلوب قانوني للاحتكار. The corporate complex is a phenomenon innovative economic regulation and it is a form of economic focus , the complex consists of a group of independent companies legally of each other but linked by economic ties, and the complex has not a separate legal entity, it does not acquire moral personality, but rather it is based on the idea of control, the holding company at the head of the complex is subject to other companies and which are called subsidiaries to their control, using multiple means, through this paper we discussed the nature of the Relationship between the holding company and its subsidiaries, and that by touching on the concept of holding companies first , then the holding company controls the subsidiaries , and finally, the responsibility arising from the holding company's control over its subsidiary , the study relied on the descriptive analytical method , the conclusion of the study is that the Relationship between the holding company and its subsidiaries is an absolute control Relationship , subsidiaries are merely a legal cover for large companies to expand their business and enforce a legal monopoly .
