Résumé: تعتبر شركة المساهمة البسيطة شكل جديد من أشكال الشركات التجارية فرض استحداثه عديد التطورات في شتى المجالات الاقتصادية، نظرا لما تتميز به هذه الشركة من بساطة في التأسيس وسهولة في الإدارة، وتم اللجوء إليه بهدف تشجيع ودعم ومرافقة مختلف المشاريع الابتكارية الناتج عن توجه الدول الداعم لاقتصاد المعرفة وانعكاساته على الاقتصاد الوطني. أما المشرع الجزائري فلم يعرف هذا النوع من الشركات إلا مؤخرا، وذلك بصدور القانون 22-09 والذي خص فيه إنشاء شركة المساهمة البسيطة على المؤسسات الناشئة دون غيرها، ولكنه لم يوضح ما إذا كان لهذه الأخيرة أن تتخذ شكلا آخرا أم لا، وإن كان هذا الشكل الجديد يتمتع بخصائص ومميزات تدفع إلى اختياره واعتماده كقالب للمؤسسات القائمة على الأفكار الإبداعية والمشاريع الابتكارية، غير أن دراسة أحكام هذه الشركة يتطلب منا الوقوف عند تنظيم المشرع الفرنسي لها باعتباره الأسبق في تبنيها، كونها تمثل نموذجا جِديا للتعاون بين الشركات والمؤسسات وحتى الأشخاص خاصة في مجالات تطوير الأفكار والابتكارات القائمة على اقتصاد المعرفة.
