الضوابط القانونية لتكوين مجمع الشركات التجارية

Résumé: يعتبر مجمع الشركات صورة متطورة من صور التركيز الاقتصادي التي أوجدها النظام الرأسمالي المعاصر، الذي يقوم على فكرة تكتل المشاريع وتوحدها من خلال تركيز الوسائل المادية والبشرية، قصد القيام بأعباء المشاريع الاقتصادية الضخمة التي تعجز الوحدات الاقتصادية عن القيام بها منفردة. فالمجمع يتشكل من مجموعة من الشركات ذات الشخصية المعنوية المستقلة قانونا عن بعضها البعض، غير أنها خاضعة لإدارة اقتصادية موحدة، تمارسها إحدى الشركات التي تأتي على رأس المجمع وتسمى عادة بالشركة القابضة، التي تباشر سيطرتها على باقي الشركات والتي تسمى بالشركات التابعة، من خلال السيطرة على ملكية أغلبية رأسمال هذه الشركات أو امتلاكها لأغلبية حقوق التصويت بموجب القانون أو الاتفاق أو بحكم الواقع. The corporate complex is considered an advanced form of economic focus created by the contemporary capitalist system, which is based on the idea of conglomerating and unifying projects by focusing the material and human means in order to carry out the burdens of huge economic projects that economic units are unable to carry out on their own. The complex consists of a group of companies with a legal personality that are legally independent from each other, but they are subject to a unified economic management, exercised by one of the companies that comes at the head of the complex and is usually called the holding company, which exercises its control over the rest of the companies, which are called subsidiaries, by controlling the Ownership of a majority of the capital of these companies or the possession of a majority of voting rights by law, agreement or de facto.
