مظاهر الاعتبار الشخصي في شركة المساهمة Manifestations Of Personal Consideration In The Joint Stock Company

Résumé: ملخص تعتبر شركة المساهمة النموذج الأمثل لشركات الأموال فهي تتكون أساسا بهدف تجميع رؤوس الأموال، بغض النظر عن الاعتبار الشخصي للمساهمين، مع ذلك فإن استقراء النصوص المنظمة لأحكام هذا النوع من الشركات يظهر أن المشرع الجزائري على غرار التشريعات المقارنة احتفظ وبغرض جمهور المكتتبين وبصفة أعم حماية الادخار العام احتفظ في شركة المساهمة بمظاهر الاعتبار الشخصي. وهي مظاهر تبدو جلية في مرحلة التأسيس من خلال العقد التأسيس وطبيعة الاكتتاب ومسؤولية المؤسسين، كما تبدو أيضا في مرحلة نشاط الشركة من خلال الأحكام المتعلقة بتداول الأسهم ومسؤولية المسيرين. Abstract: A joint-stock company is considered the ideal model for capital companies, as it is mainly formed with the aim of raising capital, regardless of the personal consideration of the shareholders. Nevertheless, the extrapolation of the texts regulating the provisions of this type of companies shows that the Algerian legislator, similar to comparative legislation, has preserved the purpose of the public of subscribers and in general, the protection of public saving. Retain in the joint-stock company aspects of personal consideration. These aspects are evident at the establishment stage through the articles of association, the nature of the subscription and the responsibility of the founders, as well as in the stage of the company's activity through the provisions related to stock trading and the responsibility of the managers.
